10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, IN NO EVENT SHALL VIA 313, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;

  • DAMAGES ARISING FROM YOUR INABILITY TO ACCESS OR USE OUR SITE OR SERVICES;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES ARISING FROM CONDUCT OF ANY THIRD PARTY ON OR THROUGH OUR SERVICES.

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF VIA 313 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES ARE NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, VIA 313'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO VIA 313 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Nothing in these Terms shall limit or exclude liability for death or personal injury resulting from gross negligence or willful misconduct, fraud, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Via 313, its owners, officers, directors, employees, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Site or Services;
  • Any User Content you submit, post, or transmit through the Site;
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights and privacy rights;
  • Your fraudulent, negligent, or wrongful conduct;
  • Any dispute between you and another user or third party arising from your use of our Services.

Via 313 reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims. You shall not settle any claim without Via 313's prior written consent.

12. Privacy Policy

Your use of our Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, disclose, and protect your personal information in accordance with applicable federal and state privacy laws, including the Federal Trade Commission Act (15 U.S.C. § 45), and, where applicable, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) for California residents. By using our Services, you consent to the practices described in our Privacy Policy.

13. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our Services shall be governed by and construed in accordance with the laws of the United States and applicable state law, without giving effect to any choice of law or conflict of law provisions.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be instituted exclusively in the appropriate federal or state courts of competent jurisdiction in the United States. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

If you are accessing our Services from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your local jurisdiction. Via 313 makes no representation that the Services are appropriate or available for use in locations outside the United States.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting Via 313 at [email protected]. We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief sought. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution.

14.2 Binding Arbitration

EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR TO THE USE OF THE SERVICES, SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT, EXCEPT THAT YOU OR VIA 313 MAY BRING CLAIMS IN SMALL CLAIMS COURT IF THE CLAIMS QUALIFY.

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.

14.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights or confidential information. Nothing in this section shall limit Via 313's right to pursue collection of outstanding payments through any available legal means.

15. Term and Termination

15.1 Term

These Terms shall remain in full force and effect for as long as you use the Site or Services or maintain an account with Via 313. Certain provisions of these Terms, by their nature, shall survive any termination or expiration, including but not limited to provisions regarding intellectual property rights, limitation of liability, indemnification, governing law, and dispute resolution.

15.2 Termination by You

You may terminate your account and cease using our Services at any time by contacting us at [email protected] or by following the account deletion procedures on our Site. Termination does not relieve you of any outstanding payment obligations or liability for actions taken prior to termination.

15.3 Termination by Via 313

Via 313 reserves the right to suspend or terminate your access to the Site and Services, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law;
  • Provision of fraudulent or inaccurate information;
  • Conduct that is harmful, offensive, or disruptive to our business or other customers;
  • Failure to pay for services rendered;
  • Any other reason at our sole discretion.

15.4 Effect of Termination

Upon termination, your right to use the Site and Services shall immediately cease. Any pending orders may be cancelled at our discretion, subject to applicable refund policies. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Changes to Terms

Via 313 reserves the right to modify, amend, update, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will:

  • Update the "Last Updated" date at the top of this page;
  • Post the revised Terms on our Site;
  • Where required by applicable law or at our discretion, notify registered users by email or through a prominent notice on our Site.

Your continued use of the Site or Services following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue your use of the Site and Services. We encourage you to review these Terms periodically to stay informed of any updates.

17. Electronic Communications

By using our Site and Services, you consent to receive communications from us electronically. We may communicate with you by email, text message, push notification, or by posting notices on our Site. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and applicable state electronic transactions laws.

18. Force Majeure

Via 313 shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, civil unrest, strikes or labor disputes, fire, power outages, internet disruptions, supply chain failures, or other events beyond our reasonable control ("Force Majeure Events"). In the event of a Force Majeure Event, we will use commercially reasonable efforts to notify you and resume performance as soon as practicable.

19. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, such provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The parties agree that a court or arbitrator should endeavor to give effect to the parties' intentions as reflected in the original provision to the greatest extent possible.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements posted on our Site, constitute the entire agreement between you and Via 313 with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, representations, warranties, and agreements, whether oral or written, relating to such subject matter. No modification of these Terms shall be effective unless in writing and signed by an authorized representative of Via 313, except as otherwise provided herein.

21. Waiver

The failure of Via 313 to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of Via 313. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default of the same or any other provision.

22. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, to any third party without our prior written consent. Via 313 may freely assign or transfer these Terms and its rights and obligations hereunder without restriction and without notice to you, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

23. Accessibility

Via 313 is committed to making our Site accessible to all users, including individuals with disabilities, in accordance with applicable law, including the Americans with Disabilities Act (ADA) and applicable state accessibility requirements.
